These Terms of Service (“Terms”) govern your use of Bizfisher, including free Hunt browsing and paid Desk subscriptions. By accessing or using the Service, creating an account, or clicking to accept, you agree to these Terms.

This is a draft for site implementation. It is not a substitute for advice from a licensed attorney.

1. The Service Bizfisher helps users discover and organize publicly available businesses-for-sale and related listings, and (with Desk) manage deal workflow tools such as saves, buy-box filters, to-dos, and related features we make available.

We are not:
- a broker, dealer, investment adviser, attorney, accountant, or lender
- a party to any purchase, sale, lease, or financing of any business or property
- guaranteeing that any listing is accurate, available, or suitable for you

Listing data may be incomplete, outdated, duplicated, or incorrect. Always verify with the listing source, broker, and your own advisors.

2. Accounts You must provide accurate information and keep credentials secure. You are responsible for activity under your account. Notify us promptly of unauthorized use.

3. Hunt (free) and Desk (paid) - Hunt may be used without charge as we describe on the site. - Desk is a paid subscription. Current pricing is shown on bizfisher.com/pricing (currently $79/month). Prices may change with notice for future periods. - Desk is billed in advance on a recurring basis via Stripe until you cancel. - Intro offers. We may offer a discounted first month (for example, $19 for the first month, then $79/month). Intro pricing applies only to your first billing period, is limited to one per customer, and your subscription then renews automatically at the regular price shown at checkout unless you cancel before the renewal date. - Cancel anytime from billing settings (or by contacting us). Access continues through the paid period already purchased unless we state otherwise. - Fees already paid are generally non-refundable except where required by law or where we expressly offer a refund. - Taxes may apply.

4. Acceptable use You agree not to: - scrape, bulk-export, or republish the Service or listing data in a way that burdens or harms the Service or violates third-party rights - reverse engineer or bypass access controls/paywalls except as allowed by law - use the Service for unlawful, fraudulent, or harassing purposes - misrepresent affiliation with Bizfisher - upload malware or interfere with the Service - use automated means to create accounts or abuse features without our written permission

We may suspend or terminate access for violations or risk to the Service.

5. Third-party content and links Listings and links may lead to third-party sites (BizBuySell, Crexi, brokers, etc.). We do not control and are not responsible for third-party content, availability, or policies. Your dealings with third parties are solely between you and them.

6. No professional advice; estimates Any filters, scores, CoC/DSCR figures, “Site Score,” use-case suggestions, return bands, or similar outputs are estimates and informational tools only. They are not financial, investment, legal, tax, zoning, or business advice. Do not treat them as a recommendation to buy, sell, or start any business. You are solely responsible for your decisions.

7. Intellectual property The Service (software, branding, UI, original content) is owned by Bizfisher or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal purposes under these Terms. Listing content remains subject to its original sources’ rights.

8. Disclaimers THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE OR ACCURATE LISTINGS.

9. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZFISHER AND ITS OWNERS/OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR DESK IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.

Some jurisdictions do not allow certain limitations; some of the above may not apply to you.

10. Indemnity You will defend and indemnify Bizfisher against claims arising from your misuse of the Service, your violation of these Terms, or your dealings with third parties regarding any listing or transaction.

11. Privacy Our Privacy Policy (bizfisher.com/privacy) explains how we handle personal information.

12. Termination You may stop using the Service and cancel Desk at any time. We may suspend or terminate the Service or your access with or without notice if you violate these Terms or if we discontinue the Service. Sections that by nature should survive (including 5–10, 13–14) survive termination.

13. Governing law These Terms are governed by the laws of the State of Illinois, excluding conflict-of-law rules. Courts in DuPage County, Illinois (or the federal courts for the Northern District of Illinois) will have exclusive jurisdiction, except where prohibited by law.

14. Changes We may update these Terms by posting a revised version. Continued use after the effective date constitutes acceptance, except where additional consent is required by law.
